Terms of Service

Contracting parties

The contracting parties are on the one hand the subscription buyer (service user) and on the other GrammarSoft ApS (seller, service provider). In a number of products, texts and mail addresses, GrammarSoft uses the brand name GramTrans.

Payment and credit cards

Ordinarily, all payments are handled online through PayPal. Credit card payments are possible using PayPals own credit card solution. The invoice amount will only be deducted from your PayPal account or credit card once you have confirmed the transaction and accepted our terms of service with a final mouse click. Hereafter, payment is mandatory and the customer is responsible for there being enough funds in the account used. In addition to the initial payment, PayPal also handles the yearly or half-yearly subscription renewal payment. For each transaction, the customer will receive a receipt from GrammarSoft.

You can cancel a subscription by stopping the recurrent payment directly in PayPal, or by written notice to support@gramtrans.com. Cancellation is only possible in advance, effective of the next upcoming renewal date, and unused partial subscription periods will not be refunded.

Prices

Unless specified otherwise, the prices quoted on the service’s website are subscription rates, and subscriptions will continue until cancelled. Prices include 25% Danish VAT, independently of the currency used.

Volume discounts and multi-user subscriptions are available for companies and institutions. Please contact: sales@gramtrans.com

Delivery

The service (Commatizer) is provided through the product website (commatizer.com) and as plug-in or add-on tool for host programs such as MS Word and Google Docs. The service will be activated automatically immediately after payment has been registered.

Order cancellation

Orders from individuals have a 14 day cancellation period, where you can get a full refund, provided you have not started using the service. Orders from companies or other commercial entities cannot be refunded.

Claims and liability

The services are actively being maintained and developed, and they are robust systems with a high availability ratio, but service interruptions can never be excluded completely, so GrammarSoft can guarantee neither zero errors nor zero interruptions. All users wishing to use the services, will do so at their own risk and liability.

Complaints have to be made to support@gramtrans.com without undue delay and at the latest 8 days after the date where the user has received an invoice or noted a malfunction. As far as GrammarSoft is liable with regard to user’s complaint, liability will be limited to direct losses, and does not cover secondary damage and indirect losses such as turnover loss, loss of income etc., nor will GrammarSoft be liable in connection with a user’s agreements with a third party.

Disclaimer of warranties

The services are provided "as is". GrammarSoft and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither GrammarSoft, nor its suppliers and licensors, offer any warranty that the services will be error free, or that access thereto will be continuous and uninterrupted. Users should be aware that service interruptions, server failure and other technical problems may occur, and will use the services at their own discretion and risk.

Limitation of liability

In no event will GrammarSoft, nor its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement or substitute products or services; (iii) for interruption of use or loss or corruption of data; or (iv) for any amounts that exceed the fees paid by you to GrammarSoft under this agreement. GrammarSoft shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.

Force Majeure

In connection with sales/subscription, delivery and use, exemptions are made as to force majeure (e.g. blackout, war, natural disasters, strike, fire, destruction of infrastructure or hard- and software). In the case of force majeure, GrammarSoft can choose either to cancel the sale/subscription, or to implement delivery as soon as normal conditions have been reestablished. Under the force majeure clause GrammarSoft cannot be made liable for a user’s possible losses from a lack of service or delivery.

Copyright and other rights

With the explicit exception of subscriber's use of the services included in a given subscription, it is not allowed, without prior written consent, to partially or completely reproduce, copy, distribute, project or store material obtained from the services. All text, program code and graphics, as well as all language resources at the site, belong to the copyright owners behind GrammarSoft.

Conditions of use

Without prior written consent or a separate commercial or institutional agreement with GrammarSoft none of the following is allowed:

  • Automatic use: all input to the services has to originate directly from a human user - specifically, it is not allowed to access the system through a program script or an automatic client.
  • Multiple user accounts: every person/user has to have their own account. Logins and passwords are strictly personal and may not be passed on to a third party (other user). In the case of violation of this provision, a fine of DKK 4.000,- will be payable per violation, unless general liability claims warrant a liability sum in excess of this figure.

Privacy Policy

GrammarSoft stores certain information from the service, for statistical purposes and further development of the program:

  • The whole input text
  • Corrections and correction suggestions
  • The user's IP-address
  • Date and time of processing

In addition, we store information about our customers as required by Danish law, including full name and email address, and for commercial customers also a mailing address.

Google, Microsoft, Adobe, and other frontends, extensions, and add-ins

While the various add-ins and extensions for e.g. Google Docs, Microsoft Word, Microsoft Outlook, or Adobe InDesign may request permissions to read your profile information from those services, this information is never transmitted to us. The frontends only use your profile to detect the initial user interface language, where possible.

The data that we do receive and store are the paragraphs that you activate the add-in on, and only those paragraphs. If you activate the add-in on a subset of a larger document, we only receive that subset. We do not store any way to identify which document the paragraph is from, nor where in the document the paragraph was.

Confidentiality

If you intend to use the services for confidential texts or texts with sensitive personal information, you can enable confidentiality from the options. If you need a high level of security for some other reason, please contact us to negotiate an individual solution.

Other provisions

Reservations are made with regard to typing errors and document visualisation errors. Please note that changes in prices and product specifications may occur.

GrammarSoft

GrammarSoft ApS is a small Danish language technology company, founded in 2000. In addition to grammar checking software, we also offer systems for machine translation (gramtrans.com) and automatic text analysis, as well as LT tools and resources such as parsers, grammars, dictionaries and annotated corpora. All products are based on state-of-the-art research results within the areas of NLP (natural language processing), corpus linguistics and lexicography.
